Bruce M. Landay, Partner
Bruce Landay practices
domestic and international business law for U.S. and foreign corporate
clients. Having practiced in New England, Washington, D.C. and Europe,
Mr. Landay combines business law expertise with the cross-cultural
insight necessary for successful international business today. Specific
experience includes:
- Corporate
and Securities Law. General counsel to U.S. technology
and personal service companies, providing general corporate and
business advice. In addition, he has represented companies and
limited partnerships in private and public placements of equity.
- Foreign
Investments in the U.S. Representation of foreign partnerships
and companies investing in the United States.
- International
Transactions.
Representation as international counsel to large publicly-held
and smaller companies, both U.S. and foreign, in their international
business matters. Representative matters include:
- representation of
Italian chemical company in acquisition of $25 million division
of publicly-held US company, by means of a three year joint venture
- representation of
Italian venture capitalists in private-placement equity financing
of a U.S.-Israeli Internet technology company.
- negotiation and
documentation, on behalf of a German company, of its distributorship
of U.S.-made medical devices, including the acquisition of the
U.S. supplier's German subsidiary;
- the $10 million
reacquisition of an Italian manufacturing and distribution operation
on behalf of a well-known U.S. fashion company;
- the negotiation
and documentation of a nine-country Asian distribution and retail
development arrangement between a well-known U.S. company and
a major Hong Kong trading company;
- representation of
a U.S. information technology company in a private placement
involving Taiwanese institutional investors; and
- numerous agency,
distribution, license, joint venture and consulting agreements
covering countries throughout Europe, the Middle East, Asia
and South America.
- Foreign
Sourcing.
Assistance to clients who source products from foreign manufacturers,
including manufacturing agreements, corporate policies on social
responsibility and the structuring of tax-free representative
offices in several Asian countries, including China, for U.S.
companies.
- Intellectual
Property Rights and Licensing. Representation
of foreign and domestic companies in connection with intellectual
property rights, including trademarks, copyrights, trade secrets
and the exploitation of patents (we do not prosecute patent applications).
Representative matters include:
- numerous confidentiality,
consulting, invention-assignment and similar agreements;
- trademark registrations;
- representation of
European and U.S. owners of, and agents for, creative property
rights;
- manufacturing license
agreements for several South American and Asian markets;
- negotiation of sponsored
and collaborative research agreements including federal Collaborative
Research and Development Agreements (CRADAs) with federally-funded
laboratories, for biotechnology and high-technology companies;
and
- negotiation and
documentation of several franchise and medical directorship
agreements on behalf of a well-known healthcare institution
involving the operation of franchised outpatient clinics;
- Regulatory.
Representation and advice in connection with U.S. trade and investment
controls, for example, the Trading with the Enemy Act, including
the antiboycott regulations thereunder; the International Traffic
in Arms Act; and the Foreign Corrupt Practices Act.
- Advisory
Boards. Member of the Boards of Advisors of Shoebuy.com, Inc.
Mr. Landay is a native
of Boston, where he attended the Roxbury Latin School. He
graduated from Yale University (B.A. cum laude 1983) and Georgetown
University (J.D. 1987). Previous to the formation of Landay & Leblang,
Mr. Landay practiced in Washington, D.C., as a visiting foreign
attorney in Italy, and since 1989 in Boston. He speaks fluent Italian,
and is a founder and past president of the Italy - New England Chamber
of Commerce and the Boston representative of the American
Chamber of Commerce in Italy. Mr. Landay has spoken on numerous
international business and legal topics in the U.S., Italy and Switzerland.
His articles have appeared in the Dickinson Journal of International
Law and the 1994 Proceedings of the American Society of International
Law and several business periodicals. He has also contributed to
publications in Italy, including the book Professione Avvocato.
Mr. Landay is an active member, and has presented several papers
at meetings, of the International Association of Young Lawyers (AIJA)
and the Associazione Internazionale Giuristi di Lingua Italiana.
He is a Member of the Chartered
Institute of Arbitrators (MCIArb). He is also a member of the
American Bar Association, of which he currently serves on the steering
committee of the International Section's European Law Committee.
Mr. Landay has been admitted to practice law in Massachusetts, New
York and the District of Columbia.
