Russell D. Leblang practices domestic and international corporate and banking law and works in the following areas:
- High Technology/Intellectual Property.
Serves as principal counsel to a variety of high technology companies including an internet service provider, maker of digital video products, provider of network administration services, and a developer of pattern recognition software. Handles contract drafting and negotiation, licensing and trademark matters, joint venture/corporate partnering, and representation in obtaining financing and/or equity investment. Provides ongoing advice on all other legal matters. Active in the entrepreneurial community, having previously started and run his own company. Serves as principal legal advisor and a member of the Board of Directors of the Enterprise Development Institute, Inc. Founder and Board member of the North Shore Computer Society.
- Closely-Held Businesses.
Representation of buyers and sellers of closely-held businesses and joint venturers both domestically and overseas. Provides regular advice on general contract matters for smaller clients, including negotiation of employment agreements, severance arrangements, non-compete agreements and preparation of incentive stock option plans. Assists in incorporation and handles issues regarding choice of proper legal form.
- Securities Law.
Serves as company counsel on a variety of securities issuances both in the United States and overseas. Acts as agent’s counsel on various Euromarket private placements, including a $8 million private debt placement. Experience working on initial public offerings.
- Finance and Banking.
Works regularly with small and middle market borrowers. Representation of a number of banks on loans to small-and middle-market borrowers. Cross-border financings involving borrowers throughout Latin America, as well as in Europe and Asia. Drafts and negotiates loan documents for multi-million dollar financings and works with local investment bankers to assist local borrowers in finding ways to tap the international capital markets.
- International Corporate.
Provides advice to U.S.- based companies regarding all aspects of structuring and operating their international operations, including analysis of the benefits of using off-shore holding companies as well as the use of Foreign Sales Corporations to enhance tax savings for U.S. based exporters. Provides advice with respect to joint ventures, including two U.S. companies interested in providing certain services to the Egyptian government. Advised a major insurance company establishing insurance businesses in Latin America. Handles general corporate matters for foreign companies that engage in business in the U.S.
- International Trade/Trade Finance.
Handles large pre-export and pre-import financings for a number of banks in Latin America, most recently completing a $400 million pre-export finance facility secured against the exporter's receivables. Handles letter of credit and international collection issues on a regular basis for major international banks, as well as for an internationally renowned hospital and various small exporters. Lectured on recent changes to the Uniform Customs and Practices. Regularly works with a variety of trade finance programs including those sponsored by The Export-Import Bank of the United States, as well as with those public and private sector entities, including OPIC and MIGA, that provide political risk insurance for trade transactions. Advises clients with respect to issues arising under various United States regulations covering international trade, including the anti boycott regulations, export controls, the Trading with the Enemy Act, and the Foreign Corrupt Practices Act.
Mr. Leblang holds an A.B. from Brown University (magna cum laude, Phi Beta Kappa), a M.P.P. from the John F. Kennedy School of Government at Harvard University, and a J.D. from Harvard Law School (magna cum laude), where he served as an editor of the Law Review. Previously, Mr. Leblang was Associate Counsel at Bank of Boston. He speaks Spanish and is a member of the Steering Committee of the International Section of the Boston Bar Association. His writings have appeared in Entrepreneurial Edge, the Harvard Law Review, the Suffolk Law Review and Latin American Law and Business. Mr. Leblang is the Honorary Consul in Boston for the Republic of Bolivia. In addition, he serves as the Legal Consultant to the Rhode Island Export Assistance Center and as a regular speaker for the Bank of Boston Export School. He is admitted to practice in Massachusetts, Maine and New York.
