International Transactions and Investments

We are special counsel to large publicly-held and small closely-held companies, both U.S. and foreign, for their international business transactions and related tax planning. We assist to such clients in structuring international acquisitions, joint ventures and commercial arrangements such as product distribution, agency, intellectual property licensing and consultant relationships. We advise on the establishment of foreign operations, including assistance to expatriate employees. We help to structure manufacturing clients' international sourcing arrangements, whether direct or through third parties, including guidance on the creation and implementation of corporate policy on international worker rights and social responsibility in developing countries. We also advise on franchise, agency, exclusive distribution and selective distribution arrangements under the regulations of the European Union and member countries.

We represent clients investing in the United States and abroad, including substantial business enterprises making investments in connection with their commercial or manufacturing operations and foreign clients whose dealings in the United States are for investment purposes only.
